For this reason, Turkish law imposes an obligation on certain JSCs to retain a contracted lawyer.<\/span><\/p>

1. Legal Basis of the Obligation<\/span><\/b><\/p>

Attorneyship Law No. 1136, Article 35\/3:<\/span><\/b>\u201cJoint stock companies with a paid-in capital exceeding 500,000 Turkish Liras (adjusted to 2,000,000 TL as of 2024) are required to retain a contracted attorney.\u201d<\/span><\/p>

Accordingly, the obligation is based on the company\u2019s\u00a0paid-in capital amount<\/b>.<\/span><\/p>

2. Which Companies Are Obligated?<\/span><\/b><\/p>

The obligation applies to:\u2022 Joint stock companies with a\u00a0paid-in capital exceeding 2,000,000 TL<\/b>\u2022 Companies with their\u00a0registered office located in Turkey<\/b>\u2022 Joint stock companies\u00a0registered with the Trade Registry and actively operating<\/b><\/span><\/p>

There is\u00a0no such obligation for limited liability companies (LLCs)<\/b>, but obtaining legal consultancy is strongly recommended.<\/span><\/p>

3. Consequences of Non-Compliance<\/span><\/b><\/p>

Continuation of Article 35\/3 of the Attorneyship Law:<\/span><\/b>\u201cIf a company fails to enter into an attorney contract within one month despite being subject to this obligation, the public prosecutor shall impose an administrative fine equal to two months\u2019 gross minimum wage.\u201d<\/span><\/p>

As of 2025, this fine amounts to approximately\u00a040,000 TL<\/b>.Moreover,\u00a0failure to comply<\/b>\u00a0may leave the company\u00a0legally vulnerable<\/b>\u00a0in the face of future disputes or legal risks arising during commercial activities.<\/span><\/p>
